Terms of Service

The agreement governing our site, owner portal, and property care coordination platform.

Acceptance of these terms

These Terms of Service form an agreement between you and IronGate Property Collective (“IronGate,” “we,” or “us”). By accessing irongatepc.com, creating or using an owner-portal account, or otherwise using our property care coordination platform, you agree to these terms.

If you enter into a separate service agreement with IronGate, that agreement also applies. If its terms conflict with these terms, the separate service agreement controls for the services it covers.

The service

IronGate provides property care and maintenance services for rural and residential property owners in the Texas Hill Country. Our services may include a property care coordination platform and owner portal used to communicate, coordinate maintenance, manage service information, and support billing and related property operations.

Available features and property services may depend on your service agreement. We may maintain, update, change, or discontinue platform features as our services evolve.

Accounts and eligibility

You must be legally able to enter into an agreement to use the services. When you create or use an account, you agree to provide accurate information and keep it current.

Owner-portal authentication may be provided through Google Firebase Authentication, including magic-link email login. You are responsible for safeguarding access to your email account, login links, and authenticated sessions. You must promptly notify us if you believe your account has been accessed without authorization.

Acceptable use

You may not:

  • Use the site, portal, or platform for unlawful, fraudulent, or abusive activity.
  • Attempt to gain unauthorized access to an account, system, or network.
  • Interfere with the operation, security, availability, or integrity of the services.
  • Upload or transmit malicious code or content that infringes another person's rights.
  • Scrape, reverse engineer, copy, or misuse the platform except where applicable law expressly permits it.
  • Misrepresent your identity, authority, property information, or service request.

Independent vendors and contractors

Vendors and contractors coordinated through the services are independent third parties and are not IronGate employees, agents, or partners. IronGate does not control their means or methods of performing work and does not warrant their workmanship beyond the coordination commitments described in the applicable service agreement. Any warranty covering a vendor's work is provided by that vendor or as expressly stated in the applicable service agreement.

To the fullest extent permitted by law, IronGate is not liable for the acts, omissions, or workmanship of independent vendors or contractors.

Payments and billing

Fees for property services are those quoted in your applicable service agreement. You agree to pay authorized charges according to that agreement and any invoice or payment terms provided to you.

Payments are processed through Stripe. IronGate does not store full payment-card numbers. Accounting and invoicing information may be processed through Intuit QuickBooks Online. Payment processor or financial-institution terms may also apply to your transactions.

Refunds, disputes, late payment, and related fee terms are governed by the applicable service agreement and invoice terms.

Service communications

By providing your contact information or using the services, you consent to receive transactional emails and other service-related communications concerning your account, property, requested work, billing, security, and changes to the services or these terms. Transactional email may be delivered through Postmark.

Intellectual property and software license

The site, owner-portal software, platform, and their original content, design, branding, software, and related materials are owned by IronGate or its licensors and are protected by applicable intellectual-property laws. Subject to these terms, IronGate grants you a limited, non-exclusive, non-transferable, revocable license to access and use the owner-portal software and other digital services for their intended purpose. The owner-portal software is licensed, not sold. No other rights are granted.

You retain ownership of information you provide. You authorize us to use that information as reasonably necessary to operate, support, secure, and provide the services.

Disclaimers

To the fullest extent permitted by law, the site, owner portal, and platform are provided as is and as available, without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

IronGate does not warrant that the digital services will always be uninterrupted, error-free, or free from harmful components.

Property conditions and service outcomes can be affected by weather, third-party vendors, owner decisions, access, and other circumstances outside IronGate's reasonable control. Any warranties or commitments for particular property services are limited to those expressly stated in the applicable service agreement.

Limitation of liability

To the fullest extent permitted by law, IronGate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to your use of or inability to use the site, owner portal, or platform.

To the fullest extent permitted by law, IronGate's aggregate liability arising from or relating to the digital services will not exceed the greater of (a) the amounts you paid to IronGate for the digital services in the twelve (12) months before the event giving rise to the claim, or (b) US $100.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Separate service agreements may state additional terms for property services.

Indemnity for misuse

To the fullest extent permitted by law, you will indemnify and hold IronGate harmless from third-party claims, damages, liabilities, and reasonable costs arising from your misuse of the services, your breach of these terms, or your violation of applicable law or another person's rights. This obligation does not apply to claims caused by IronGate's own negligence or willful misconduct.

Termination

You may stop using the site or platform at any time, subject to obligations in any separate service agreement. We may suspend or terminate access when reasonably necessary to address a violation of these terms, nonpayment, fraud, security risk, legal requirement, or risk of harm to IronGate, our users, or others.

Terms that by their nature should continue after termination, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnity, and governing-law terms, will survive.

Governing law and venue

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. The state and federal courts located in Kendall County, Texas, will have exclusive jurisdiction over disputes arising from or relating to these terms or the digital services, and you consent to the personal jurisdiction of those courts. This provision does not prevent the application of rights that cannot lawfully be waived.

Severability

If any provision of these terms is found unenforceable, that provision will be enforced to the greatest extent permitted by law, and the remaining provisions will remain in full force and effect.

Changes to these terms

We may update these terms as our services or practices change. When we do, we will post the revised terms on this page and update the effective date. For material changes, we will provide reasonable advance notice before they take effect, such as by emailing owner-portal account holders or posting a prominent notice on the site. Your continued use of the site, owner portal, or platform after that notice and the revised terms take effect constitutes acceptance of those terms.

General

These terms and any applicable service agreement constitute the entire agreement between you and IronGate concerning their subject matter. If they conflict, the service agreement controls for the services it covers. A failure to enforce a provision is not a waiver of the right to enforce it later.

IronGate may assign these terms. You may not assign these terms or your rights under them without IronGate's prior consent.

IronGate is not responsible for a delay or failure in the availability or operation of the platform caused by events beyond its reasonable control.
